Project JAM is implementing a multi-platform (Artist to Songwriter/Producer and Artist to Industry) ecosystem to address these problems and give writers, artists and musicians opportunities to formalize the ways in which they are discovered, rated and hired by other musicians, record labels, producers and clients.
The JAM Ecosystem begins with Jam Compass, the central platform connecting music industry professionals, in order to collaborate and find real opportunities. Just open JAM Compass and find exactly what you’re looking for with an easy directed search. Users can search for musicians and industry professionals by instrument, genre, skill, and location. Pro features will include must-have industry tools for daily use, such as split sheet integration, smart contract payment tools, marketplace, professional listings, and more.
What makes this opportunity really exciting for DigitalAMN, is that Project JAM is also a client of TruCrowd Services, LLC, which was engaged to market Project JAM’s RegCF offering. As a founding member of TruCrowd Services, LLC, DigitalAMN takes pride in seeing the first RegCF offering listed on TruCrowd’s specialized music platform, MusicFy.
DigitalAMN anticipates being able to greatly assist Project JAM with its long-term business development plans; particularly as it is anticipated that Project JAM will leverage various blockchain-component technologies, to support its visibility within the music industry.
As with any other DigitalAMN client-company, portfolio company, and/or those affiliated companies within DigitalAMN’s ecosystem (each a “Client Affiliated Company”), DigitalAMN will enter into a transaction or series of agreements to obtain cash and/or securities and DigitalAMN will often address matters concerning the Client Affiliated Company, its industry and its specific market segment. DigitalAMN typically uses various outlets which include, but not limited to: (i) press releases, (ii) blogs, (iii) articles, (iv) all social media platforms – each originating from DigitalAMN, a Client Affiliated Company, and/or the client-company (Project JAM (in this case)). DigitalAMN may also introduce and otherwise discuss a Client Affiliated Company in other social forums such as conferences, speaking engagements, radio and televised interviews, etc.
Section 17(b) of the Securities Act of 1933 requires that any person that uses the mails to publish, give publicity to, or circulate any publication or communication that describes a security in return for consideration received or to be received directly or indirectly from an issuer, underwriter, or dealer, must fully disclose the type of consideration (i.e. cash, free trading stock, restricted stock, stock options, stock warrants) and the specific amount of the consideration.
DigitalAMN has received a cash retainer for its Advisory Consulting Services, that have been billed under a Statement of Work (“SOW”), and, per the SOW, DigitalAMN may be paid in cash and/or securities via additional SOW addendums.
DigitalAMN intends to work closely with Project JAM, until they reach their business development goals and anticipates, eventually, bringing Project JAM into the DigitalAMN equity portfolio. We are beyond excited to work with the top-notch management team of Project JAM.
