BloxX Financial to Strengthen DigitalAMN’s Market Position and Increase Its Own Value Proposition, Through Strategic Business Expansion & Leadership Integration

Through a thoughtfully contemplated strategic merger, DigitalAMN is excited to announce its intent to acquire BloxX Financial (“BloxX”), a dynamic private holding company specializing in emerging markets, as part of DATI’s ongoing efforts to substantively increase the Company’s value, expand market reach and accelerate growth. 

The transaction is expected to be structured as an acquisition, in which BloxX Financial will become a subsidiary of DigitalAMN, subject to customary closing conditions. As part of this transition, BloxX CEO, Ken Reece, is expected to assume a key leadership position within DigitalAMN’s C-Suite and Board of Directors, ensuring strategic continuity, fiscal growth, and operational integration. 

This opportunity has been long in the making and management looks forward to making a formal announcement when appropriate. 

Strategic Vision and Alignment 

DigitalAMN has identified an opportunity to align with BloxX’s business holdings, which share DigitalAMN’s ethos of community-driven, minority-led business growth. This potential acquisition supports DigitalAMN’s long-term vision, offering a pathway to Nasdaq positioning and future leadership succession planning. By leveraging BloxX’s established operations, extensive business and political network and global strategic partnerships, DigitalAMN aims to drive sustainable expansion across its ecosystem.

Path to Completion 

Following an initial analysis of BloxX’s financials, operations, and strategic potential, both companies have agreed to enter a formal due diligence period spanning 60 business days. This process will include validating financials, regulatory compliance, and integration strategies to ensure a seamless transition post-acquisition.

Upon successful completion of due diligence, DigitalAMN and BloxX will move toward executing definitive agreements—presumably prior to the close of the QT2, leading to the official closing of the transaction.
