A Tactical Reset: Leveraging Retail Market Limitations to Rebuild Value and Strategic Positioning

Digital Asset Monetary Network, Inc. (“DigitalAMN” or the “Company”) announced today its measured move to the Expert Market—an uncomfortable yet strategic decision made to build a fundamentally stronger position.

This is not about not wanting to file disclosures—to the contrary, we intend for our next filings to be with the SEC. This is about embracing the truth: Overall, we’ve delivered less than envisioned. That changes now—especially as we begin finalizing a strategic merger and acquisition (M&A) of assets, revenue, and executive talent.  And given our current market positioning, experience points us toward this seemingly more radical approach to getting the Company back on track.

Some may say we’re “going dark.” Others might not understand the strategy.

Here’s what’s real:
We are temporarily suspending the superficial aspects of being a public company to double down on what matters for any business (public or private)—building real value: Revenue. Assets. Tangible Growth. We are reallocating the time and every dollar, once inefficiently spent on daily compliance, legal fees, and investor marketing, into:

  • Executing our mergers and acquisitions (BloxX, StackIt.ai, etc.)
  • Entering Partnerships (e.g. Capizate, and others)
  • Fully Monetizing the .HipHop domain registry and its adjacent businesses (e.g. Hip Hop Tv)
  • Driving revenue and tangible growth from our (i) current equity and business portfolio, (ii) new digital and equity assets, and (iii) 2024-2025 PAI Program, and
  • Focused efficiency on raising capital and filing with the SEC.

Tactical vs. Reactive
This move to the Expert Market is a tactical retreat—not a collapse—rather a short-term recalibration for a long-term comeback.

Simply put, ‘we’ve stared into the abyss, and it’s reminded us of who we need to become.’ And because ‘we know better’, hiding behind excuses would be weak and inappropriate. As we look at the incredible opportunities before us, as they immediately stand, we’ve failed to meet our own standards. And thanks to the handful of shareholders who actively correspond with us directly via email or phone, we’re reminded of this and are encouraged to be all that they believe we can be. Thus, we owe this to them in particular.  So, this action isn’t a retreat… it’s a repositioning. Like pulling back troops to higher ground, we’re stepping out of the noise to rebuild—quietly, fiercely, and without distraction.  We’re not here to play the “appearance game.” We’re here to win.

The Commitment?
By the close of the 3rd Quarter, we will have:

  • Completed core mergers and acquisitions, partnerships, and integrations;
  • Accelerated growth across revenue-generating products;
  • Cut losses—lending resource support only to those portfolio assets with promise;
  • Reintroduced the Company to traditional public market quotations—barring unforeseen logistical challenges—with no illusions, just results.

We will continue to publish relevant updates through our “Coffee Talk” series and issue press releases for material events. And going forward, we will provide strategic filings through more direct, cost-efficient channels made available through the SEC—for financial disclosures.
